                          1          The parties agree that a closing of the subject premises shall be held, time of the

                essence, on or before March 5, 2020.

                          2.         If plaintiff does not close by March 5, 2020 it shall be in default and forfeit its

                downpayment.

                          3         The Notice of Pendency filed in connection with this action shall be cancelled and

                the County Clerk, New York County is directed to cancel same.
