We would like to congratulate N.C. & Sons, Inc, The Nicholson Corporation on the award of the attached contract for work at the American
Express - Centurion Lounge project located in Jamaica, NY. in an attempt to keep the flow of information moving and ultimately provide timely
payments to you, please note the requisite items listed below are extremely important in achieving ihose goals.
Enclosed you will find our subcontract agreement. This agreement contains project specific terms and conditions. Master Subcontract
Ternis, which terms and conditions therein are referenced to the subcontract agreement. It is our intent that you have previously executed the
Master Subcontract Terms as presented with no changes or exceptions. We understand you will complete your work in timely manner in
harmony with all trades. Kindly return a signed copy with your Certificate of Insurance listing Holt Construction Corp. and
additional insured's (sample Exhibit E). We prefer to receive electronic copies at Contractseholtcc.com. We will countersign
and return one (1) copy for your files. Your initiation of work shall be deemed to constitute acceptance by you of the terms and conditions
of this contract and of our Master Subcontract Terms with no exceptions. However, if you were sent a letter of intent, then you have already
agreed to our Subcontract Agreement and our Master Subcontract Terms.
If you are not in total agreement with our Master Subcontract Terms, Subcontract Agreement, contract amount,
completion date or any other item herein, you will not perform any work for the above-mentioned project without first
notifying our office in writing. If we do not receive anything in writing within 2 dayz, lt will be that all parties are of the
understanding that we have an agreement as per the subcontract agreement enclosed with no exceptions.
The signature page of the Subcontract Agreement must include the typed name and title of the representative signing the document; the
signature must then be witnessed and your corporate seal affixed in the spaces indicated. Execution of the Subcontract Agreement must be by
an officer of your company.
As per Master Subcontract Terms, Article 2, please submit your Schedule of Values as approved by the Project Manager on this project
within 15 days so that your AIA submission will be expedited.
Your AIA Progress Payment Applications must be submitted no later than the twentieth (20) day of each mcnth for work performed up to and
including the last day of the month, (Refer to Master Subcontract Terms, Article 2.2,3).
Only Change Orders, which have been approved by Holt Construction, may be billed against. (Refer to Master Subcontract Terms, Article
3.1). If Change Orders are incorrectly billed against, your Application for Payment will be sent back and an adjusted Application for Payment will
be required.
Unless and until our office is provided with the approved schedule of values, original executed subcontract agreement, current insurance
certificate, current and previous month's executed Waiver of Lien forms, Approved Change Orders (if applicable) and approved Payment
Application, your payment may be delayed.

SUBCONTRACT AGREEMENT
ARTICLE 1
CONSTRUCTION AGREEMENT
This Agreement ("Agreement") made Monday, April 29, 2019 (4129/19) by and between Holt Construction Corp., 50 E
Washington Avenue Pearl River, NY 10965 hereinafter called the "Contractor' and N.C. & Sons, The Nicholson
Corporation, 201 Chambersbrook Road, Branchburg, NJ 08876, hereinafter called the "Subcontractor," to perform part
of the Work on the following Project:

Notice to the Parties shall be given at the above address by FAX and regular mail (overnight mail if FAX is not available).
ARTICLE 2
CONTRACT PRICE
2.1 The Contractor agrees to pay to the Subcontractor for the satisfactory performance of the Subcontractor's Work,
as defined below, the sum of (the "Subcontractor's Price") in accordance with the terms and
conditions set forth herein.
ARTICLE 3
SCOPE OF WORK
3.1 Subcontractor's Work. The Contractor engages the Subcontractor as an Independent Contractor, to perform the
entire scope of work applicable to its trade and as described in Exhibit A-1 and Exhibit A-2, attached hereto
and incorporated by this reference (the "Subcontractor's Work"). The Subcontractor shall perform
Subcontractor's Work under the general direction of the Contractor and in accordance with this Agreement
and the Contract documents. The Subcontractor shall perform Subcontractor's Work in accordance with the
highest industry standards except where modified by the Contract Documents.
3.2 Contract Documents. The Contract Documents that are binding on the Subcontractor are this Agreement, the Holt
Construction Master Subcontract Terms, the contract between the Owner and the Contractor, including any
modifications (where that document is more restrictive or impose oblig atices not set forth herein), the
documents set forth in Exhibit A-2 of this Agreement and all exhibits attached hereto, each of which is
incorporated by this reference as if fully set forth herein (collect, iely, the 'Contract Documents").
Subcontractor acknowledges and agrees that it has access to, has exam ined, is familiar with, understands,
and has obtained all clarification it deems necessary and appropriate respecting all of Contract Documents
described herein.
3.3 The Work. Subcontractor agrees to furnish and pay for all labor, materials, equipment, services and every other
thing necessary for completion of Subcontractor's Work in accordance vv.th the Contract Documents, or if
they are necessary to produce the intended results and to assure a complete and functional Project.
Subcontractor's Work shall include all obligations of the Subcontractor to comply with the provisions of this
Subcontract and with the provisions of all other Contract Documents. It is further understood that incidental
or minor modifications may be required due to actual job conditions, fielC coordination with other trades or
substitution of equal products due to availability, etc. in that event no request for extras or change orders will
be granted for such modifications required or advisable under the normal scope of work unless a major
change occurs and it is recognized as such by the Architect and Owner Subcontractor represents that it
has carefully examined the Contract Documents and the site and based on such has satisfied itself that
Subcontractor's Work can be performed and completed in accordance with this Agreement. Subcontractor
acknowledges and agrees that this Agreement is effective when signed by Subcontractor and, provided the
Agreement is signed by Subcontractor, applies retroactively to work pe (-formed and services provided by
Subcontractor in furtherance of Subcontractor's Work prior to such effective date of th is Agreement.
ARTICLE 4
PERFORMANCE BOND and LABOR and MATERIAL PAYMENT BOND

Furnish to the Contractor, as named Obligee with others as Obligees at Contractors option, surety bonds to
secure the faithful performance of the Subcontractor's Work and to satisfy all Subcontractor payment obligations
related to Subcontractor's Work. If bonds are required they shall be furnished by a surety acceptable to the
Contractor, in the full amount of the Subcontract Price, and on forms acceptable to Contractor.
ARTICLE 5
CHANGE IN VALUE OF WORK/
CLAIM FOR ADDITIONAL COMPENSATION
5.1 Unless otherwise set forth in Contractor's agreement with the Owner, in the event of a claim for additional
compensation by the Subcontractor, it is agreed that additional materials and labor shall be submitted at the
Subcontractor's cost, which shall include a ten percent (10%) mark-up for overhead and profit on labor, a
five percent (5%) markup for overhead and profit on material and a five percent (5%) mark-up on any sub tier
contractor, a zero percent (0%) mark-up for overhead and profit on other, a zero percent (0%) markup for
rented equipment, and a zero percent (0%) markup for owned equipment.

ARTICLE 7
FORM OF AGREEMENT
7.1 This Agreement shall be binding upon and inure to the benefit of Seller and Purchaser, and their respective
successors, assigns and related entities (subject to any restrictions set forth in the Contract Documents,
if any), and may be executed in multiple counterparts or by facsimile transmission or electronic mail, each
of which shall be treated as an original of this Agreement for all purposes, and all of which together shall
constitute one (1) agreement binding upon all of the parties hereto, notwithstanding that all of the parties
are not signatory to the original or the same counterpart or facsimile transmission.

The limit of the Proiect Manager's authority shall be to bind Holt Construction Corp. in matters
having a value of less than $10,000. Regarding matters with a value in excess of $10,000, the
signature of one of the other five persons identified above is necessary to bind Holt
Construction Corp.
Subcontractor agrees to furnish and pay for all labor, materials, equipment, services and every
other thing necessary for completion of all (Millwork) work in accordance with the Contract
Documents, or if they are necessary to produce the intended results and to assure a complete
and functional Project. it is further understood that incidental or minor modifications may be
required due to actual job conditions, field coordination with other trades or substitution of
equal products due to availability, etc. In that event no request for extras or change orders will
be granted for such modifications that are hereby inferred under the normal scope of work
unless a major change occurs and it is recognized as such by the Architect and Owner. In
addition, the Subcontractor shall be responsible for examination of actual conditions at the site.
The Subcontractor affirms that from its own investigations, it has satisfied itself as to the nature
of the work, the character of the equipment and other facilities needed for the performance of
the work, the general and local conditions at the site and all other matters, which may in any
way affect the work or its performance and, further, that the conditions at the site are such that
the work to be performed under this Agreement can be carried on and completed in
accordance with the contract documents. It is the intention of the contract documents to
includes provision for all labor, material and applicable sales & use tax and related services to
fully complete and protect the work of the Subcontractor's trade all as set forth in the Contract
Documents, no matter where it appears. The Scope of Work as described and included in the
Contract Documents and more particularly set forth below. Any limitations or exclusions
contained in the bidding documents shall not be effective to limit or alter the Scope of Work,
unless specifically set forth below.
