I, DAVID PAUL BERMAN, an attorney duly admitted to practice law before the Courts
of the State of New York, submits the following proposed order:
After reviewing Plaintiff’s Order to Show Cause, Affirmation of David Berman,
Affidavit of David Reichman, Memorandum of Law and Exhibits 1-8, and opposing papers, if
any are filed the Court finds the following. Unless a temporary restraining order is ordered,
restraining Liberty Stock Transfer, Inc. from transferring the 2.9 million shares of stock at issue
in this case, the evidence shows that Plaintiff will suffer immediate and irreparable injury, loss or
damage will result unless the defendant is restrained. This order forbids Liberty Stock Transfer,
Inc from transferring any stock belonging to the plaintiffs that is related to the February 28, 2021
stock transfer agreement, May 25, 2022 Lock Up agreement, and any of the other following
conditions:
